The rules, guidelines, and agreements governing the use of Gridbrains hardware and enterprise software platforms.
Welcome to Gridbrains. These Terms of Service ("Terms") constitute a legally binding agreement between Gridbrains Inc. Gridbrains and the corporate entity, organization, or individual ("Client," "you," or "your") accessing or using our proprietary hardware, software platforms, and related services.
By executing a Master Services Agreement (MSA), purchasing or leasing Gridbrains Hardware, or accessing our Software Platforms, you agree to be bound by these Terms.
Subject to your compliance with these Terms and payment of applicable fees, Gridbrains grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Software solely for your internal business operations.

Our robots are heavy, autonomous industrial machines. While they are equipped with advanced PL-d rated safety scanners and dynamic obstacle avoidance, the Client is ultimately responsible for the safe deployment environment.
Gridbrains retains all right, title, and interest (including all intellectual property rights) in and to the Hardware designs, Software, AI models, API frameworks, and any updates or derivatives thereof.
You retain full ownership of all visual, acoustic, and environmental data captured by the robots on your premises ("Client Data"). You grant Gridbrains a limited, secure license to process this data strictly to provide the Services to you.
You grant Gridbrains the right to collect and utilize anonymized, aggregated telemetry data (such as navigation paths, collision avoidance events, and motor performance) to improve our AI models and overall fleet reliability. This data will never contain identifiable Client video or proprietary facility information.
Hardware Warranty: Gridbrains warrants that the Hardware will perform substantially in accordance with its published specifications for the duration of your active SaaS/Lease agreement, provided it is used under normal conditions and not subjected to abuse or tampering.
AI and Security Disclaimer: While GridGuard OS and our AI models are highly advanced, Gridbrains does not guarantee 100% detection of all security threats, leaks, or mechanical anomalies. The Services are intended to augment, not entirely replace, human oversight and existing safety protocols.
"AS IS" Software: TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
IN NO EVENT SHALL GRIDBRAINS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, OR BUSINESS INTERRUPTION ARISING OUT OF THE USE OR INABILITY TO USE THE SERVICES. GRIDBRAINS' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO GRIDBRAINS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
We reserve the right to suspend or terminate your access to the Software or require the immediate return of leased Hardware if you materially breach these Terms, fail to pay subscription fees, or utilize the Services for illegal or unauthorized purposes. Upon termination, all licenses granted to you will immediately cease.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Santa Clara County, California.
